Terms of Service

Notice for users outside Russia

These Terms are governed by Russian law. Consumer rights in your jurisdiction may grant you additional protections (e.g., the EU Consumer Rights Directive, US state consumer protection laws). Mandatory consumer protection laws in your jurisdiction prevail over conflicting provisions of these Terms. Contact legal@admetric.pro for jurisdiction-specific questions.

These Terms of Service (the "Terms") govern the relationship between AdMetric LLC ("Company", "we") and the user ("User", "you") when using the AdMetric platform.

1. General provisions

1.1. The AdMetric platform (the "Platform") is an online marketing automation service available at app.admetric.pro.

1.2. By using the Platform, you confirm that you have read, understood, and agree to these Terms and the Privacy Policy.

1.3. We may modify these Terms. Material changes will be communicated 14 days in advance by email and via a banner in the Platform. Continued use after notice constitutes acceptance.

1.4. If you do not agree with the Terms, discontinue use of the Platform.

2. Registration and account

2.1. Registration is required. You agree to provide accurate information.

2.2. You are responsible for the security of your credentials and for all activities under your account. We recommend enabling two-factor authentication.

2.3. Sharing account access with third parties without our consent is prohibited.

2.4. We reserve the right to suspend or delete an account for a material breach of these Terms, with written notice.

3. Services, integrations and pricing

3.1. The Platform provides services including:

  • managing ad campaigns via third-party platform APIs;
  • AI-powered content generation;
  • web analytics and conversion attribution;
  • integrations with CRMs, analytics, social networks (48+ platforms).

3.2. Pricing is published on the /price page. The list of integrations and AI features may change at the Company's discretion.

3.3. We reserve the right to change pricing with 14 calendar days' notice. Pricing of an active paid subscription does not change until the end of the prepaid period.

3.4. Advertising budget is paid by the User directly to the ad platforms (Yandex Direct, Google Ads, Meta Ads, etc.) and is not included in the AdMetric subscription fee.

3.5. The Platform is not an advertising agency and is not liable for: suspension or downranking of accounts on third-party platforms, refusal to display ads under platform rules, changes to third-party pricing or APIs, or actions of ad system moderators.

4. Payment and refunds

4.1. Payment is prepaid for the selected period (monthly, annually).

4.2. New users are granted a free 7-day trial.

4.3. A User who is an individual may cancel the subscription at any time. The refund amount equals the prepaid fee minus the cost of services actually used (pro-rated by days of use and AI tokens consumed). Refund requests should be sent to support@admetric.pro and are processed within 10 business days.

4.4. For Users that are legal entities or sole proprietors, refund terms are defined by the contract.

4.5. Refunds for AI tokens and other consumed resources after use are not available.

5. Intellectual property

5.1. All rights to the Platform (code, design, trademarks) belong to the Company.

5.2. The User retains rights to their content uploaded to the Platform. By using the Platform, the User grants the Company a limited license to process such content for the purpose of providing services (including transfer to Anthropic Claude API for AI processing).

5.3. Copying, modifying, or distributing Platform elements, reverse-engineering, or using Platform data to train competing models is prohibited.

6. AI generation: User responsibility

6.1. The Platform's AI tools (ad copy, images, articles, posts) are powered by third-party technologies, notably Anthropic Claude. We do not guarantee the quality, accuracy, or fitness for purpose of generated content.

6.2. The User confirms that: (a) they review AI-generated content before publication; (b) they bear full responsibility for infringing on third-party rights (plagiarism, trademark, likeness rights, etc.); (c) they will not raise claims against the Company for AI generation results; (d) they will use AI content only for lawful purposes.

6.3. AI-generated content is not exclusive — similar content may be generated for other users.

7. Usage restrictions

7.1. The Platform may not be used for:

  • violation of Russian law or applicable foreign law;
  • distribution of malicious software;
  • spam, fraud, phishing;
  • advertising of prohibited goods and services (drugs, weapons, unlicensed gambling, escort services, extremist content, content violating ad platform rules);
  • infringement of third-party rights (intellectual property, deepfake without consent, personal data);
  • building competing products based on Platform data or functionality;
  • attempts at unauthorized access, load testing, or vulnerability scanning without our written consent.

7.2. Upon detection of violations, we may immediately suspend services. Refunds for the suspension period are not provided.

8. Service availability

8.1. The Platform is provided "as is". We make reasonable efforts to ensure uptime but do not guarantee uninterrupted operation, freedom from errors, or third-party outages (ad platforms, AI providers, infrastructure providers).

8.2. Scheduled maintenance is performed where possible at night (Moscow time) and announced in advance.

9. Limitation of liability

9.1. The Company is not liable for:

  • advertising campaign results (including return on investment);
  • actions of ad platforms, AI providers, or other third parties;
  • the quality of AI-generated content or its fit for the User's purposes;
  • losses arising from blocking or restrictions on ad platforms;
  • data loss caused by acts or omissions of third parties or the User.

9.2. The Company's aggregate liability under any theory is limited to the amount paid by the User in the 3 months preceding the event giving rise to the claim. This limitation does not apply to liability that cannot be limited under applicable law.

10. Privacy

10.1. Processing of personal data is governed by the Privacy Policy published at /privacy.

10.2. If the User transmits third-party personal data through the Platform (e.g., leads from a CRM), the User warrants that they have a lawful basis for such transmission and acts as the controller of that data. The Company acts as a processor on the User's instructions.

11. Dispute resolution

11.1. The parties shall seek to resolve disputes through negotiation. The response period for a written claim is 30 days.

11.2. Disputes with consumer Users are resolved in accordance with the Russian Consumer Protection Law (Art. 17): at the consumer's choice — at the consumer's place of residence, the defendant's location, or the place of contract conclusion or performance.

11.3. Disputes with Users that are legal entities or sole proprietors are resolved by the Moscow Arbitration Court.

11.4. These Terms are governed by the laws of the Russian Federation. Mandatory consumer protection laws of the User's jurisdiction take precedence over conflicting provisions.

12. Final provisions

12.1. The Terms take effect upon acceptance at registration.

12.2. The invalidity of any individual provision does not affect the validity of the remaining provisions.

12.3. Matters not covered by these Terms are governed by the laws of the Russian Federation.
